for Drift

Introduction

Welcome to Drift! These Terms of Service ("Terms") govern your use of Drift, a macOS menu bar application that converts CSV files to Google Sheets.

By downloading, installing, or using Drift, you agree to be bound by these Terms. If you do not agree to these Terms, do not use Drift.


1. Acceptance of Terms

By using Drift, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

These Terms constitute a legally binding agreement between you and the developer of Drift.


2. License to Use

Grant of License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use Drift for your personal or commercial use.

Restrictions

You may NOT:

  • ❌ Reverse engineer, decompile, or disassemble Drift
  • ❌ Modify, adapt, or create derivative works of Drift
  • ❌ Distribute, sell, lease, rent, or sublicense Drift
  • ❌ Remove or alter any proprietary notices from Drift
  • ❌ Use Drift for any illegal or unauthorized purpose
  • ❌ Attempt to circumvent any security features or limitations

macOS System Requirements

Drift requires macOS and appropriate system permissions to function. You are responsible for ensuring your system meets these requirements.


3. Google Account Integration

Third-Party Service

Drift integrates with Google services (Google Sheets API) to provide its functionality. By using Drift, you also agree to comply with:

Your Google Account

You are responsible for:

  • Maintaining the security of your Google account
  • All activities that occur through your Google account when using Drift
  • Ensuring you have the right to upload and create content in your Google Drive

Authorization

When you connect your Google account to Drift, you authorize Drift to:

  • Create new Google Sheets in your Google Drive
  • Upload CSV data to these newly created sheets

You may revoke this authorization at any time through Google's account settings or by disconnecting within Drift.


4. User Conduct and Responsibilities

Acceptable Use

You agree to use Drift only for lawful purposes and in accordance with these Terms.

Prohibited Uses

You may NOT use Drift to:

  • Upload illegal, harmful, or malicious content
  • Violate any applicable laws or regulations
  • Infringe upon intellectual property rights
  • Transmit viruses, malware, or other harmful code
  • Abuse, harass, or harm another person
  • Impersonate any person or entity
  • Exceed reasonable usage limits of Google's APIs

Your Content

You retain all rights to the CSV files and data you process through Drift. You are solely responsible for:

  • The accuracy and legality of your data
  • Any consequences of uploading your data to Google Sheets
  • Compliance with data protection laws (GDPR, CCPA, etc.)

5. Intellectual Property

Ownership

Drift, including all software, code, design, trademarks, and documentation, is owned by the developer and protected by copyright and other intellectual property laws.

Feedback

If you provide feedback, suggestions, or ideas about Drift, you grant us a worldwide, royalty-free license to use, modify, and incorporate such feedback without compensation or attribution.


6. Disclaimers and Limitations of Liability

"AS IS" Basis

DRIFT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy, reliability, or availability

No Guarantee

We do NOT guarantee that:

  • Drift will be error-free or uninterrupted
  • Defects will be corrected
  • Drift is free from viruses or harmful components
  • Results from using Drift will meet your requirements

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Service interruptions or data loss
  • Any damages arising from your use or inability to use Drift

THIS APPLIES EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Maximum Liability

Our total liability to you for any claims arising from your use of Drift shall not exceed the amount you paid for Drift (if any).


7. Data Loss and Backups

Your Responsibility

You are solely responsible for maintaining backups of your data. We are not responsible for:

  • Loss or corruption of CSV files
  • Failed uploads to Google Sheets
  • Data loss due to Google API issues
  • Any other data loss or corruption

Always maintain backups of important data.


8. Google API Dependency

Third-Party Dependency

Drift relies on Google's APIs and services. We are not responsible for:

  • Google API availability or downtime
  • Changes to Google's APIs or policies
  • Termination or suspension of Google services
  • Costs or fees charged by Google
  • Google's handling of your data

If Google discontinues or changes their APIs, Drift may cease to function without liability to you.


9. Updates and Modifications

Software Updates

We may release updates, upgrades, or modifications to Drift at our discretion. Updates may:

  • Add, modify, or remove features
  • Require acceptance of new terms
  • Change system requirements

You are not obligated to install updates, but we recommend doing so for security and functionality improvements.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective when posted with an updated "Last updated" date.

Material changes will be communicated through:

  • In-app notifications
  • Website announcements
  • Email (if we have your contact information)

Continued use of Drift after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using Drift.


10. Termination

By You

You may stop using Drift at any time by:

  • Disconnecting your Google account
  • Deleting the application from your Mac
  • Revoking access from Google's account settings

By Us

We reserve the right to:

  • Discontinue Drift at any time without notice
  • Terminate or suspend your access for violations of these Terms
  • Modify or limit functionality

Effect of Termination

Upon termination:

  • Your license to use Drift ends immediately
  • You must delete Drift from your devices
  • Provisions regarding disclaimers, limitations of liability, and intellectual property survive termination

11. Geographic Restrictions

Drift is provided for use globally, but we make no claims that Drift is appropriate or available for use in all locations.

You are responsible for compliance with local laws if you use Drift outside your jurisdiction.


12. Export Compliance

You agree not to export or re-export Drift in violation of any applicable export control laws and regulations.


13. Indemnification

You agree to indemnify, defend, and hold harmless the developer of Drift from any claims, damages, losses, liabilities, and expenses (including attorney fees) arising from:

  • Your use or misuse of Drift
  • Your violation of these Terms
  • Your violation of any rights of another party
  • Your violation of any laws or regulations

14. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to conflict of law principles.

Informal Resolution

Before filing a claim, you agree to contact us to attempt to resolve the dispute informally by emailing [richard.lavigne87@gmail.com].

Arbitration

Any disputes arising from these Terms or your use of Drift shall be resolved through binding arbitration rather than in court, except that you may assert claims in small claims court if they qualify.

Class Action Waiver

You agree to resolve disputes with us on an individual basis and waive any right to participate in class actions or class-wide arbitration.


15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.


16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding Drift and supersede all prior agreements and understandings.


17. No Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.


18. Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.

20. Open Source

Drift may include open-source software components. Use of these components is governed by their respective licenses, which are included in the app's "About" section.


Summary (TL;DR)

You CAN:

  • Use Drift for personal or commercial purposes
  • Upload CSV files to create Google Sheets
  • Disconnect and delete at any time

You CANNOT:

  • Reverse engineer or modify Drift
  • Use Drift for illegal purposes
  • Redistribute or resell Drift

  • Drift is provided "as is" without warranties
  • We're not liable for data loss - keep backups!
  • Google's terms also apply when using Drift
  • We can modify these terms - watch for updates

  • Stop using Drift anytime
  • Revoke Google access anytime
  • Keep all rights to your data

By using Drift, you agree to these Terms of Service.
